Welcome to PixelPrompt, a marketing agency operated by Kev Solutions LLP. By accessing or using our website and services, you agree to comply with and be bound by these Terms and Conditions. We reserve the right to modify these terms at any time. 2. Services

PixelPrompt offers various digital marketing services, including but not limited to social media management, content creation, SEO optimization, website design, and marketing strategy consulting. Services are provided according to specific agreements, project scopes, and timelines mutually agreed upon with each client.

3. Client Responsibilities

Clients agree to:

• Provide accurate and complete information needed for project completion.
• Maintain active communication to ensure timely project progress and approvals.
• Comply with any intellectual property rights and usage requirements related to the services.

Failure to fulfill these responsibilities may result in project delays or additional charges.

4. Payment Terms

• Invoicing: PixelPrompt will issue invoices as specified in the project agreement or as services are completed.
• Payment Terms: Payments are due within [specified timeframe, e.g., 15 days] of the invoice date unless otherwise stated in the agreement.
• Late Payments: Late payments may incur interest charges or a delay in service delivery. PixelPrompt reserves the right to suspend or terminate services in the case of unpaid invoices after repeated notifications.

5. Intellectual Property Rights

• Client Content: Clients retain ownership of any materials, data, or content they provide to us for the purpose of fulfilling our services.
• Deliverables: Upon full payment, PixelPrompt grants the client rights to any final project deliverables specified in the agreement. PixelPrompt retains rights to underlying methodologies, strategies, and templates used to create the deliverables.
• Marketing Use: PixelPrompt may request permission to use non-confidential work as portfolio examples on its website or in marketing materials. Client consent will be obtained for such use.

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary or sensitive information exchanged during the course of the engagement. Confidential information shall not be disclosed to any third parties without prior written consent unless required by law.

7. Limitation of Liability

PixelPrompt aims to deliver services with high quality and accuracy. However, we make no warranties, express or implied, regarding the results or effectiveness of our services. PixelPrompt is not liable for:

• Any indirect, incidental, or consequential damages arising from the use of our services.
• Errors or issues resulting from inaccurate or incomplete information provided by the client.
• Loss of data or other damages due to unforeseen technical issues, except where otherwise provided by law.

8. Termination

Either party may terminate the agreement for convenience by providing [15 days] written notice. Upon termination:

• Clients are responsible for payment for any completed work or expenses incurred up to the termination date.
• PixelPrompt will provide all completed and client-paid deliverables in an accessible format.
• All rights, obligations, and protections specified under confidentiality and intellectual property will survive termination.

9. Indemnification

Clients agree to indemnify and hold PixelPrompt and Kev Solutions LLP harmless from any claims, losses, liabilities, or damages arising out of:

• Use of the services in a manner not expressly authorized by these terms.
• Breach of these terms by the client or unauthorized use of the deliverables.

10. Governing Law

These Terms and Conditions are governed by the laws of [Jurisdiction, e.g., India], without regard to conflict of law principles. Any disputes arising from these terms or services shall be subject to the exclusive jurisdiction of courts in [Location, e.g., Delhi, India].

11. Refund and Cancellation Policy

• Service Cancellation by Client: Clients may request to cancel ongoing services by providing written notice [15 days]. Upon cancellation, the client agrees to pay for any work completed or expenses incurred up to the cancellation date. Refunds will not be provided for any services already rendered.
• Refund Policy: Due to the nature of digital marketing and consulting services, PixelPrompt does not generally offer refunds on completed work. However, we are committed to client satisfaction and will work to resolve any issues in the scope of our services. Refund requests may be considered at PixelPrompt’s discretion in cases of verifiable dissatisfaction with deliverables, provided the request is made within [7 Days of delivery of the services]. And once the refund is initiated it will be credited within 7-14 working days
• Project-Based Services: For fixed-price or project-based services, cancellation requests received before project commencement will be eligible for a partial refund, deducting any administrative or preliminary setup costs incurred. Once the project has commenced, refunds will not be available for partial work.
• Termination by PixelPrompt: PixelPrompt reserves the right to terminate services in cases of non-payment, breach of agreement, or other justifiable reasons. In such cases, the client will be billed for work completed up to the termination date, and any prepaid amounts for unrendered services may be refunded at our discretion.
